Terms of Service

These Terms govern your subscription to and use of Blog Scoreboard. Please read them carefully. By starting a trial, subscribing, or otherwise using the Service, you agree to these Terms.

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Ezekiel Enterprises LLC dba Blog Scoreboard ("Blog Scoreboard," "we," "us," or "our"), an AI-assisted blog-content and search-visibility service for local businesses (the "Service"). If you do not agree to these Terms, do not use the Service.

1. The Service

Blog Scoreboard produces and publishes search-oriented blog articles on your behalf and reports on their activity and performance (the "Scoreboard"). The Service is provided on a continuous, subscription basis. Output volume, publishing cadence, reporting, and features are described on our marketing and application pages and may change over time as we improve the Service. We may add, modify, or discontinue features at our discretion.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into this agreement on behalf of the business you represent. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account access, and for all activity under your account.

3. Trial, Billing, and Renewal

$1 entry charge. Your subscription begins with a one-dollar ($1) entry charge. This is not a free trial; it is a paid entry that activates your account and authorizes recurring billing.
14-day initial period. The $1 entry covers an initial period of fourteen (14) days. At the end of that period, unless you cancel beforehand, your subscription automatically converts to a recurring monthly subscription at the then-current rate for your plan.
Automatic recurring billing. After the initial period, your subscription renews automatically each month until you cancel. By subscribing, you authorize Blog Scoreboard and our payment processor to charge your payment method on each renewal date, at the then-current price, without further action by you.
Plans and pricing. Current plans and prices are shown on our pricing and checkout pages. Prices may change, and we will give notice of price changes that affect your renewal as described below.
Grandfathered / early pricing. If you subscribe at a promotional, early-bird, or grandfathered rate, that rate applies only while your subscription remains continuously active. If you cancel and later re-subscribe, or if your subscription lapses, the promotional rate may no longer be available and standard pricing may apply.
Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.
Failed payments. If a charge fails, we may retry the charge and may suspend or terminate the Service until payment is resolved.

4. Cancellation

You may cancel your subscription at any time by contacting us at support@blogscoreboard.com or through any cancellation method we make available. Cancellation stops future renewals. The $1 entry charge and any subscription charges already incurred are non-refundable except where required by law. When you cancel, your subscription remains active through the end of the current paid period, after which it will not renew. Content already published may remain publicly available unless we agree otherwise.

5. Acceptable Use

You agree not to use the Service to:

Violate any law or regulation, or infringe anyone's intellectual property, privacy, or other rights.
Submit false, misleading, deceptive, defamatory, or fraudulent business information or content requests.
Promote illegal goods or services, or content that is hateful, harassing, sexually explicit, or otherwise objectionable.
Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems.
Resell or sublicense the Service without our written permission.

You are responsible for the business information and instructions you provide, and you represent that you have the right to have content published about your business. We may refuse, edit, suspend, or remove content or accounts that we believe violate these Terms, and may suspend or terminate accounts that violate this section.

6. Content and Intellectual Property

The Service, including our software, designs, and the "Blog Scoreboard" name and branding, is owned by us and protected by intellectual-property laws. As between you and us, you own the business information you provide. Articles produced for you and published on your behalf are licensed to you for the promotion of your business; we retain the right to operate, display, and improve the Service, including the platforms on which content is hosted. You grant us the rights necessary to produce, publish, host, and report on content for your account.

7. No Guarantee of Results

Blog Scoreboard makes no guarantee of any specific result. We do not promise any particular search ranking, amount of traffic, number of leads, sales, revenue, or income. Search engines and markets are outside our control and results vary widely between businesses. Nothing in these Terms, on our websites, or in any communication is a promise or guarantee of earnings or performance. See our full Earnings / Results Disclaimer, which is incorporated into these Terms by reference.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE INDEXED, RANKED, OR PERFORM IN ANY PARTICULAR WAY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOG SCOREBOARD AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless Blog Scoreboard from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your business information, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access to the Service at any time for any violation of these Terms or for any conduct we reasonably believe harms the Service or others. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, and indemnification) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Blog Scoreboard is organized, without regard to conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in that jurisdiction, and you consent to their personal jurisdiction. Any claim must be brought within one (1) year after it arises.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, may provide additional notice by email or through the Service. Your continued use of the Service after an update means you accept the revised Terms.
